End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("Merchant" or "User") and HD International ("Company," "we," "us," or "our") governing your use of the HD International AI Business Assistant platform and related software services ("Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Software.

1. Grant of License

Subject to your compliance with this Agreement, HD International grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal business purposes. This license does not include the right to sublicense, resell, or redistribute the Software or any component thereof.

2. Description of Software

The HD International AI Business Assistant is a software platform that integrates with third-party services — including Clover point-of-sale systems — to provide AI-powered phone and chat assistance, online ordering capabilities, customer communication, appointment booking, and business automation features to small and medium-sized businesses. Specific features enabled for your account depend on your service plan and configuration.

3. Clover Integration and Payment Processing

The Software integrates with the Clover platform to facilitate online ordering and payment processing on behalf of Merchants. By using the Clover integration features, you authorize HD International to:

  • Access your Clover merchant account data, including inventory, orders, customers, and payment records, through Clover's authorized API.
  • Create, modify, and manage orders on your behalf as directed by your customers through the AI assistant.
  • Retrieve and display your inventory, pricing, and menu information to customers.
  • Process customer payments via Clover's secure payment infrastructure.
  • Access customer contact information stored in your Clover account for order and communication purposes.

All payment processing is conducted through Clover's secure infrastructure. HD International does not store full payment card numbers. Merchants are responsible for maintaining their Clover account in good standing and ensuring their Clover settings comply with applicable payment card industry (PCI) standards.

4. Data Collection and Use

In the course of providing the Software, HD International may collect and process the following categories of data:

Merchant Data

Business name, contact information, business hours, menu/inventory data, API credentials (stored encrypted), and account configuration settings.

End Customer Data

Phone numbers, names, email addresses, order history, and conversation transcripts from interactions with the AI assistant. This data is collected to fulfill orders, provide customer service, and improve the Software's performance.

Transaction Data

Order details, item selections, pricing, timestamps, and payment status records. Full payment card data is never stored by HD International.

Communication Data

Call recordings (where applicable and legally permitted), SMS message logs, and chat conversation transcripts used to improve AI response quality and for business reporting purposes.

Data is used solely to operate and improve the Software and is not sold to third parties. For full details on data handling, please review our Privacy Policy.

5. Merchant Responsibilities

As a Merchant using this Software, you agree to:

  • Provide accurate and up-to-date business information, including hours, menu items, and pricing.
  • Maintain valid and properly configured Clover API credentials and notify HD International promptly of any credential changes.
  • Obtain all necessary consents from your end customers for the collection and processing of their personal data, including for AI-assisted phone and chat communications.
  • Comply with all applicable laws governing your business, including consumer protection, privacy, and payment regulations.
  • Not use the Software for any unlawful, fraudulent, or abusive purpose.
  • Maintain the confidentiality of any login credentials or API keys provided by HD International.

6. Intellectual Property

The Software, including all underlying code, AI models, interfaces, workflows, and documentation, is and remains the exclusive intellectual property of HD International. Nothing in this Agreement transfers ownership of the Software to you. You may not reverse engineer, decompile, copy, or create derivative works based on the Software without prior written consent from HD International.

Your business data — including your menu, inventory, and customer records — remains your property. HD International claims no ownership over data you provide or that is generated on your behalf through your Clover account.

7. Third-Party Services

The Software integrates with third-party platforms including but not limited to Clover (payment and POS), Twilio (phone and SMS), Google (AI and speech services), and SendGrid (email). Your use of these integrations is also subject to the respective terms of service of those providers. HD International is not responsible for the availability, accuracy, or actions of third-party services.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. HD INTERNATIONAL DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED RESPONSES WILL BE ACCURATE IN ALL CIRCUMSTANCES.

AI-generated responses are automated and may occasionally contain inaccuracies. Merchants are responsible for reviewing AI behavior and ensuring it aligns with their business policies.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HD INTERNATIONAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

HD International's total aggregate liability under this Agreement shall not exceed the total fees paid by you to HD International in the three (3) months preceding the claim.

10. Termination

Either party may terminate this Agreement at any time with written notice. HD International may suspend or terminate your access immediately if you breach any term of this Agreement, fail to pay applicable fees, or engage in conduct that we determine, in our sole discretion, is harmful to the Software, other users, or third parties.

Upon termination, your license to use the Software ceases immediately. HD International will retain your data for a period of thirty (30) days following termination before permanent deletion, unless a shorter retention period is required by law.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Colorado.

12. Changes to This Agreement

HD International reserves the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement at this URL and updating the "Last Updated" date above. Continued use of the Software following notice of changes constitutes your acceptance of the revised Agreement.
